General Terms for WorkNode PRO

1.1 These general terms (the “Terms”) govern use of the WorkNode PRO service provided by WorkNode Freelance AB, company registration number 559156-1294 (“WorkNode”).

1.2 WorkNode PRO is a subscription service for self-employment that enables private individuals to invoice clients without having their own company, with ongoing intermittent employment by WorkNode for the term of the subscription (provided that the conditions for coverage by WorkNode's collective bargaining agreement are met; otherwise, the same terms apply as for WorkNode FLEX).

1.3 The Terms apply only to WorkNode PRO. Separate general terms apply to WorkNode FLEX, which concerns self-employment per assignment.

1.4 By registering an account, selecting a subscription and accepting these Terms, the user (the “Self-employed Contractor”) confirms that they have read, understood and accepted the Terms, WorkNode's Privacy Policy, price list and insurance information.

2.1 WorkNode PRO is a subscription-based self-employment system in which the Self-employed Contractor takes out a subscription for six or twelve months.

2.2 During the subscription, the Self-employed Contractor is employed by WorkNode on an intermittent basis and may invoice one or more clients without limit through their WorkNode PRO account during the subscription term.

2.3 The subscription renews automatically for the same commitment period unless cancelled no later than 30 days before the end of the period. Cancellation is made by ending the subscription in the platform or by giving written notice to support@worknode.se that the service is to end.

2.4 WorkNode PRO includes the same administrative and employment-law functions as WorkNode FLEX, but with subscription benefits such as coverage by a collective bargaining agreement (following pre-registration), extended insurance cover, and ongoing invoicing and support at a fixed price.

3.1 The Self-employed Contractor is employed by WorkNode within WorkNode PRO when the subscription is activated and WorkNode confirms the employment. To be covered by WorkNode's collective bargaining agreement with Svenska Medarbetare, the assignment must be pre-registered under the published terms. Pre-registration is made at /en/pre-registration.

3.2 Employment continues for the subscription term and is intermittent employment with a fixed commitment corresponding to the period selected by the Self-employed Contractor when ordering (six or twelve months).

3.3 When assignments are registered, the same principles apply as under WorkNode FLEX: WorkNode acts as employer and is responsible for salary, tax and social security contributions, while the Self-employed Contractor is responsible for planning and performing the work.

3.4 Every WorkNode PRO assignment must be pre-registered in the system before work begins. Assignments that have not been registered or approved may not be covered by insurance, sick pay or other rights under these Terms.

3.5 WorkNode is responsible for administration, payroll processing, insurance and reporting to public authorities. The Self-employed Contractor is responsible for performance, quality and results of the assignment.

3.6 If the Self-employed Contractor breaches the law, these Terms or WorkNode's policies, WorkNode may discontinue assignments or terminate the employment with immediate effect.

4.1 The Self-employed Contractor must perform assignments with professional skill, professional conduct and in accordance with the client's instructions and applicable laws and regulations.

4.2 The Client is responsible for ensuring that the work environment is safe and meets the requirements of the Swedish Work Environment Act (AML), Working Hours Act (ATL) and Discrimination Act. The Self-employed Contractor must comply with WorkNode's Work Environment Policy and report deficiencies or incidents to both WorkNode and the Client.

4.3 If the assignment requires a particular licence, certificate or permit, the Self-employed Contractor must ensure that it is in place before the assignment begins.

4.4 The Self-employed Contractor must notify WorkNode of changes to the scope or terms of the assignment or to client information.

4.5 Work under WorkNode PRO must be performed in accordance with the applicable collective bargaining agreement if the Self-employed Contractor has chosen coverage under section 8. Otherwise, these General Terms apply in full.

5.1 WorkNode PRO is a subscription service with a commitment period of six or twelve months, depending on the option selected by the Self-employed Contractor when ordering.

5.2 The subscription is renewed automatically for the same commitment period unless cancelled no later than 30 days before the end of the current period. Cancellation is made by ending the subscription in the platform or by giving written notice to support@worknode.se that the service is to end.

5.3 As standard, the WorkNode PRO fee is deducted from the Self-employed Contractor's available invoiced funds held by WorkNode. If insufficient funds are available, the subscription fee is charged against the next invoice.

5.4 No refund is made on early cancellation during the commitment period.

5.5 If payment cannot be made under clause 5.3, WorkNode may suspend the account until the debt has been settled. Outstanding fees may be recovered in accordance with applicable law.

5.6 Private individuals who subscribe to WorkNode PRO may withdraw from the agreement within 14 days of the order date under the Swedish Distance Contracts Act (2005:59). To exercise the right of withdrawal, the Self-employed Contractor must notify WorkNode by email at support@worknode.se before the service has been used. If WorkNode PRO has begun to be used during the withdrawal period—for example through invoicing or salary payment—the service is deemed to have commenced and the right of withdrawal ends.

6.1 The Self-employed Contractor is entitled to salary corresponding to the amount invoiced and paid by the Client, after deduction of WorkNode's fee, taxes, social security contributions and any additional services under the current price list.

6.2 Payment is normally made within one banking day after WorkNode receives the Client's payment. Salary is paid to the bank account specified by the Self-employed Contractor in their WorkNode PRO account.

6.3 If the Self-employed Contractor is covered by the collective bargaining agreement under section 8, the pay provisions, holiday terms and supplements stated in the collective bargaining agreement between WorkNode Freelance AB and Sveriges Medarbetare also apply.

6.4 Expenses incurred by the Self-employed Contractor for the assignment may be reimbursed through WorkNode PRO if they are reasonable, necessary and supported by valid receipts. WorkNode must approve expenses before reimbursement.

6.5 WorkNode PRO does not guarantee a particular level of pay or volume of work. Compensation is always based on assignments actually registered and paid.

6.6 After completing an assignment, the Self-employed Contractor creates an invoice that is sent to the Client and is also available in the WorkNode PRO account. If the Client does not pay on time, WorkNode uses the following reminder process: notification after two days; reminder invoice after seven days (SEK 60 reminder fee plus default interest); and a further reminder after 15 days (SEK 180 fee, making total reminder fees of SEK 240). On request, the recovery process may be paused through support@worknode.se before fees are imposed.

If the invoice recipient does not pay reminder fees, the corresponding amount may be deducted from the Self-employed Contractor's salary payment.

If an incorrect VAT rate has been used, WorkNode may adjust it to the correct rate. The Self-employed Contractor will be contacted if the position is unclear.

7.1 During active employment under WorkNode PRO, the Self-employed Contractor is covered by WorkNode's basic insurance cover. This normally includes:

occupational injury insurance (TFA);

liability insurance; and

group life insurance (TGL-equivalent cover).

7.2 The insurance applies only to assignments that have been pre-registered and registered in WorkNode PRO and are performed during the agreed period. Work that is not registered or is performed outside the approved scope of an assignment is not covered.

7.3 If the Self-employed Contractor has pre-registered an assignment and is covered by the collective bargaining agreement under section 8, insurance under that agreement applies in addition to the basic cover, including:

occupational group life insurance (TGL); and

occupational injury insurance (TFA).

7.4 WorkNode is the policyholder and provides the insurance in cooperation with insurers and the parties to the collective bargaining agreement. The current insurance terms are available on WorkNode's website.

7.5 The Self-employed Contractor must follow safety regulations, immediately report all injuries, accidents and near misses to WorkNode, and assist with any claims adjustment.

7.6 Insurance cover does not apply to work outside approved assignments, work carried on through the Self-employed Contractor's own business, or areas expressly excluded by WorkNode's insurance. These include assignments that:

require a special permit or registration, such as road transport or SWEDAC/accredited operations;

require specific professional expertise or certification, such as electrical and gas installation;

require special liability insurance by law, such as auditing or insurance/real-estate brokerage;

involve healthcare performed by licensed professionals;

are governed by ABK 09 or other contractual insurance arrangements;

are by nature conducted continuously, such as manufacturing;

are management appointments carrying company-law liability; or

have a contract value exceeding 10% of annual turnover, subject to a maximum of SEK 2,000,000.

Where WorkNode's insurance does not provide cover, additional insurance may in some cases be made available following a request to hello@worknode.se before the assignment begins.

8.1 The Self-employed Contractor may pre-register assignments under WorkNode's rules and will then be covered by the current Sveriges Medarbetare–WorkNode collective bargaining agreement. See /en/pre-registration.

8.2 Pre-registration is made by the Self-employed Contractor completing and submitting the special form at /en/pre-registration.

8.3 Once WorkNode has confirmed the registration, the Self-employed Contractor is covered by the collective bargaining agreement, which means that:

terms concerning pay, working hours, holidays, sick pay and notice periods are governed by the agreement;

the insurance under section 7.3 (TGL and TFA) applies; and

any disputes are interpreted in accordance with the agreement and its relationship between the parties.

8.4 If no pre-registration has been made, only these General Terms (equivalent to WorkNode FLEX) apply and the Self-employed Contractor is not covered by the collective bargaining agreement or its associated insurance.

8.5 The collective bargaining agreement applies only while the WorkNode PRO subscription is active and requires valid WorkNode PRO membership. WorkNode registers everyone who pre-registers an assignment, and is thereby covered by the collective bargaining agreement, as a member of Svenska Medarbetare. Membership is free. Svenska Medarbetare is a trade-union organisation for freelancers whose sole purpose is to maintain a collective bargaining agreement.

9.1 The Self-employed Contractor is entitled to sick pay under applicable law and/or WorkNode's collective bargaining agreement with Svenska Medarbetare (the Swedish Sick Pay Act, 1991:1047) for days on which a registered assignment or active employment period is in progress.

9.2 Entitlement to sick pay requires that:

the Self-employed Contractor has pre-registered the assignment;

sickness absence was reported to both the Client and WorkNode on the same day; and

a medical certificate is presented from the first day of sickness in accordance with WorkNode's procedures.

9.3 WorkNode applies one qualifying day, after which sick pay is paid at 80% of average income during the assignment.

9.4 For longer illness (more than 14 days), the Swedish Social Insurance Agency assumes responsibility for compensation.

9.5 If the Self-employed Contractor is covered by the collective bargaining agreement, the special sick-pay terms stated there apply.

9.6 The complete sick-pay rules and the procedure for handling and reporting sickness are available through WorkNode's sick-pay form at /en/sick-pay.

10.1 The Self-employed Contractor is liable to the Client for defects or deficiencies in performed assignments. Following a complaint by the Client, the Self-employed Contractor must remedy the reported defect or deficiency within a reasonable time where practically possible.

10.2 WorkNode is liable to the Client and the Self-employed Contractor only for the administrative commitments expressly stated in these Terms, such as salary payment, insurance administration, tax payments and invoicing.

10.3 WorkNode is not liable for the performance, quality or result of the assignment or for disputes between the Client and the Self-employed Contractor.

10.4 WorkNode is not liable for indirect loss, such as loss of profit, loss of assignments, business interruption or similar consequential loss.

10.5 WorkNode's aggregate liability to the Self-employed Contractor is in all cases limited to 0.5 price base amounts under the Swedish National Insurance Act (1962:381) for the calendar year in which the loss occurred, unless otherwise required by mandatory law.

10.6 If the Self-employed Contractor causes loss to WorkNode or a third party through negligence or breach of these Terms, the Self-employed Contractor must compensate WorkNode for the resulting loss or expense.

11.1 Without WorkNode's written consent, the Self-employed Contractor may not disclose, distribute or use information about WorkNode, the Client or their operations that may be considered confidential. Confidentiality continues after the assignment or employment ends.

11.2 All documentation, data, templates, systems or materials provided by WorkNode within WorkNode PRO remain WorkNode's property.

11.3 Results arising from the Self-employed Contractor's work belong to the Client unless otherwise agreed between the parties.

11.4 The Self-employed Contractor is responsible for ensuring that the work product does not infringe third-party intellectual property rights.

12.1 WorkNode is the controller for processing personal data within WorkNode PRO. Processing takes place in accordance with Regulation (EU) 2016/679 (GDPR) and applicable Swedish law.

12.2 WorkNode processes personal data to provide the service, discharge employer responsibilities, administer salaries, taxes, insurance and customer relationships, and comply with legal obligations.

12.3 Personal data may be shared with partners such as public authorities, insurers, banks and system suppliers to the extent required for WorkNode to meet its obligations.

12.4 Further information is available in WorkNode's Privacy Policy at /en/privacy-policy, which forms an integral part of these Terms.

13.1 The Self-employed Contractor may cancel the WorkNode PRO subscription through WorkNode customer service or the WorkNode PRO account. Cancellation must be made no later than 30 days before the end of the commitment period to avoid automatic renewal.

13.3 On early cancellation during the commitment period, no subscription fee is refunded and WorkNode may charge the remainder of the period.

13.4 WorkNode may immediately terminate the subscription and employment if the Self-employed Contractor:

breaches these Terms;

provides incorrect information;

acts negligently or unlawfully;

misuses the service; or

uses WorkNode PRO for an unauthorised purpose.

13.5 Following cancellation or termination, WorkNode continues to administer outstanding salary, tax and insurance matters in accordance with law, but the service is closed to new assignments.

14.1 WorkNode reserves the right to amend these Terms. Amendments are published on /en and apply from the stated date.

14.2 If an amendment is material and affects the Self-employed Contractor's rights, the Self-employed Contractor must be informed by email or a message in WorkNode PRO at least 30 days before it takes effect.

14.3 If the Self-employed Contractor does not accept the amendment, the subscription may be cancelled with immediate effect before the new terms take effect.

14.4 Minor editorial or clarifying amendments may be made without specific notice.

15.1 These Terms are governed by Swedish law.

15.2 Disputes between the Self-employed Contractor and WorkNode must first be resolved through dialogue and negotiation.

15.3 If the parties cannot reach agreement, the dispute may be determined by the Swedish ordinary courts, with Stockholm District Court as the court of first instance.

15.4 If the Self-employed Contractor is a consumer, they may refer the matter to the Swedish National Board for Consumer Disputes (ARN). WorkNode follows ARN's decisions.

15.5 All communications concerning the agreement and its application are conducted in Swedish.
